Wrestling with the topic of boards and governance

Martha has built a very successful nonprofit youth ministry. When approaching a new potential donor, she is challenged with the idea of having a board of directors, a topic she has not had to wrestle with to this point. She found herself and the potential donor with two different perspectives regarding the pros and cons of a board.

Zhao sees the role of a board as, among other things, …

• Supporting the organisational leader while, at the same time holding him/her accountable
• Acting as a sounding board and asking the tough questions
• Holding the leader accountable
• Ensuring the programs of the organisation effectively and efficiently support that mission
• Ensuring the organisation meets its legal and ethical commitments

Martha’s perspective is less formed in that the idea of a board was a very new idea to her. What little perspective she had is, for the most part negative. She “feels” that:

• What little value a board could bring to the organisation is provided in her staff meetings
• She and her staff know what they are doing – they don’t need any help as demonstrated by the growth and performance of L3
• A board would be a lot of extra work and would slow things down
• Having a board would be demotivating to her and her staff of skilled, dedicated workers
• She was capable of holding staff accountable but hadn’t given thought to who would hold her accountable. Speaking of accountability, the idea itself was a bit demeaning (“Why would I need to be held accountable like a small disobedient child?”)

• Networking/connections with potential donors, expertise, etc.
• Objectivity
• Sounding Board
• Accountability but with a supportive mindset
• Meeting donor requirements that a capable board be in place

Effective boards are not a natural occurrence. They don’t just happen. They are the product of intentionality and a lot of hard work. Without such an investment it’s possible that governance efforts will be hampered by:

• Uncommitted board members who are not aligned with the mission and vision of the organisation
• Incompetent board members who are not capable of delivering the benefits we mentioned above
• Confusion about the responsibilities of a board of directors
• Ineffective board processes that hinder effective deliberations and decision-making
